Our Policy
Acceptance of orders is subject to credit approval. As security for payments of any sums due or to become due to Calgary Sign and Print under the terms of this agreement, Calgary Sign and Print shall have the right to retain possession of and customer hereby grants to Calgary Sign and Print a security interest in all property of customer in Calgary Sign and Print ’s possession. Customer shall be liable for Calgary Sign and Print ’s cost of collection, including reasonable attorney’s fees incurred to recover any payment due under this proposal.
Past due amounts accrue interest at 1.5% per month .Past due means being unpaid past the terms of the invoice.
2. ACCEPTANCE
.
Quotations are extended for a period of twenty (20) days unless revoked by Calgary Sign and Print prior to acceptance by purchaser
. This quotation may be accepted by purchaser
only by returning to Calgary Sign and Print a copy of this quotation dated and executed by an authorized representative of purchaser, and acceptance shall not be deemed effective unless received by Calgary Sign and Print . This agreement may only be amended or modified in writing and signed by both parties.
3. PAPER
.
Paper prices quoted are current as of the quote date. Any increases in Calgary Sign and Print ’s cost of paper between the date of Calgary Sign and Print quotation and delivery to Calgary Sign and Print ’s plant shall be added to the quoted prices. Calgary Sign and Print shall give customer reasonable notice of any such price changes. Calgary Sign and Print shall order paper for the work at customer’s request, customer assumes full responsibility for the repurchase and disposition (including any storage charges) of Calgary Sign and Print unused inventory of such paper stock due to customer’s change of specifications, cessation of customer’s operation or termination of the work prior to Calgary Sign and Print completing the project.
4. SHIPPING AND MAILING
.
Customer agrees to indemnify and hold Calgary Sign and Print harmless from and against all claims and liabilities arising out of the failure of any of customer’s insert or mailing materials to conform to any rules or regulations of any shipping company, common carrier or the Canadian Postal Service in connection with size, markings, labeling, inserts or any other matter
connected with the work, including without limitation, any loss of rate/fee discounts charged to Calgary Sign and Print by reason of such non-conformity. PRIOR to the date on which finished goods are to be mailed or shipped the customer must deposit in the appropriate postal service or shipper’s account or to Calgary Sign and Print, sufficient funds to cover all postage or shipping costs. If you pay for postage and/or shipping by credit or debt card a 4.0% convenience fee will be charged and paid to the card processing vendor. This fee is not a revenue to Signage & Printing Solutions.
5. TAXES & DELIVERY CHARGES

All amounts due for taxes and assessment will be added to the customer’s invoice and are the responsibility of the customer. N
o tax exemption will be granted unless the customer’s “Exemption Certificate” (or other official proof of exemption) accompanies the purchase order. Unless otherwise specified, all deliveries shall be made FOB Calgary Sign and Print’s dock, Any transportation charges (including insurance) incurred by Calgary Sign and Print for customer shall be invoiced and paid in addition to charges for the work; in such case, Calgary Sign and Print assumes no responsibility for the actions or failures of any reputable shipper, common carrier chosen by Calgary Sign and Print .
ALTERATIONS / CORRECTIONS
.
Customer alterations include all work performed in addition to the original specifications. The correction of errors made by Calgary Sign and Print in the set-up process will not be charged when brought to our attention prior to acceptance. READ YOUR PROOF CAREFULLY. All changes made after the first proof or any changes to ‘print ready’ files will be billed
time. All such work will be charged at the standard Signage & Printing Solutions rates.
7. QUANTITY VARIATION
.
Unless the parties otherwise agree, variations in quantity of up to 5% over or under the ordered quantity shall constitute acceptable delivery. The excess or deficiency shall be charged or credited at the “additional thousands” rate that is set forth in this agreement. If the customer requires a guaranteed quantity, the percentage of tolerance must be stated on the signed quotation.
8. DELAYS
.
All schedules are subject to delays caused by or resulting from any failure of customer to furnish or return materials in satisfactory condition for use by Calgary Sign and Print , promptly, as required by Calgary Sign and Print schedules. Calgary Sign and Print shall not be liable to customer for any delay resulting from or occasioned by customer’s delay nor shall Calgary Sign and Print be liable for any delay caused by or resulting from any act of God, shortage of labor, materials, energy, or supplies, accident, labor difficulty, embargo, governmental regulations, or any delay or breach of contract by carriers, suppliers or other contractors with whom Calgary Sign and Print has contracted for the furnishing of labor, materials, supplies, energy or transportation, or by reason of any other caused beyond the reasonable control of Calgary Sign and Print , delay resulting from or occasioned by any such cause or event being hereby excused. The period of delay shall be that period of time
required to enable Calgary Sign and Print to reschedule the work in accordance with its production schedules for this and other work.
Calgary Sign and Print shall not be liable to customer for damages resulting from any delay so caused.
9. PROOFS
.
Calgary Sign and Print shall furnish customer the proofs or other materials that are set forth in the specifications, and customer shall return such proofs indicating any and all changes (editorial and art). If revised proofs are desired, a written request for them must be made when the proofs are returned and the customer will be billed for additional proofs. Calgary Sign and Print shall not be
liable for errors or subsequent corrective costs for work that is completed pursuant to customer’s written or oral approval or for errors due to written or oral communicated changes or customer’s failure to order proofs, refusal to review proofs, failure to return proofs marked with changes, or customer’s instructions to proceed without submission of proofs.
10. CLAIMS
.
All claims for defective or damaged goods or for shortages must be made by customer in writing, fully set forth the nature of t
he alleged defect, damage, or shortage, be accompanied by samples demonstrating any defect or damage, and be received by Calgary Sign and Print within fifteen (15) days after passage of title in such goods to customer. Customer’s failure to do so shall
constitute irrevocable acceptance of the goods and a waiver of any defect, damage, or shortage. Customer must make any claim for damage in transit directly against the carrier. Returned goods become property of Calgary Sign and Print and may be used as samples for the purposes of sales demonstrations or paper styles.
11. COLOR
.
Differences in paper, inks, equipment, and other conditions between the proofing and pressroom operations, a reasonable variation in color between color proofs and the completed job and normal manufacturing variances within tolerances that are established by printing trade customs may exist and shall be considered in conformity with the warranty offered by Calgary Sign and Print
12. WARRANTY
.
Calgary Sign and Print warrants that the work shall be performed according to the terms of this agreement and standards acceptable in the printing industry. Calgary Sign and Print shall not be responsible for any errors, omissions, or extra costs resulting from customer’s proofing or faults in any electronic transmission. Customers are advised to check with Calgary Sign and Print that all
electronic data arrived intact and files were not altered by changes in software between the parties. THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ANY OTHER EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE.
13. LIMITATIONS OF REMEDIES
.
Customer’s sole and exclusive remedy for Calgary Sign and Print negligence or other tort, breach of warranty or contract, or any other claim arising out of or connected with the agreement shall be the return of the selling price allocable to that portion of the work that is nonconforming or, at Calgary Sign and Print option, printing of a correction in subsequent work, if applicable. IN NO EVENT SHALL KNIGHT PRINTING BE LIABLE FOR ANY SPECIAL, CONTINGENT, INDIRECT, OR CONSEQUENTIAL DAMAGES, WHETHER FOR BREACH OF WARRANTY OR OTHER CONTRACT BREACH, NEGLIGENCE OR OTHER TORT, OR ON ANY STRICT LIABILITY THEORY.
14. INTELLECTUAL PROPERTY RIGHTS / COPYRIGHT
.
Customer represents and warrants that have the explicit right to all artwork, or content and have the authority to have Signage & Printing Solutions print the artwork or content. Customer further represents and warrants and that the content of the information supplied by customer to Calgary Sign and Print and Calgary Sign and Print ’s use and printing of such information shall not infringe or violate any intellectual property or proprietary right of any person or entity. Customer further represents and warrants that the content of the information supplied by customer to Calgary Sign and Print shall be not defamatory as to any person or entity.
15. INDEMNIFICATION
.
Customer agrees to defend, indemnify and hold harmless Calgary Sign and Print and its affiliates, and their respective directors, officers, employees and representatives from any and all liabilities, losses, damages, costs, and expenses (including reasonable fees and costs of attorneys) directly or indirectly arising out of or in any way related to customer’s obligations, representations and warranties under this Agreement.
16. LAW GOVERNANCE
.
This Agreement shall be governed in accordance with the laws of the Province of Alberta.
17. COMPLETE AGREEMENT
.
THE TERMS AND CONDITIONS SET FORTH HEREIN SUPERSEDE ALL OTHER PROPOSALS, ORAL OR WRITTEN, AND ALL PREVIOUS NEGOTIATIONS,
CONVERSATIONS, OR DISCUSSIONS BETWEEN THE PARTIES TO THIS AGREEMENT. CUSTOMER UNDERSTANDS AND AGREES THAT NO AGENT, EMPLOYEE, OR
REPRESENTATIVE OF SIGNAGE & PRINTING SOLUTIONS HAS AUTHORITY TO BIND Calgary Sign and Print TO ANY AFFIRMATION, REPRESENTATION OR WARRANTY CONCERNING THE SUBJECT MATTER OF THIS AGREEMENT WHICH IS NOT SET FORTH HEREIN, AND THAT ANY AFFIRMATION, REPRESENTATION OR WARRANTY WHICH IS NOT SET FORTH HEREIN SHALL NOT CONSTITUTE A WARRANTY.
This document and the proof must be signed and returned before any production time is scheduled.
